General Terms and Conditions

Article 1

These general terms and conditions (“Terms and Conditions”) apply to all brokerage contracts concluded between CTB Brokers d.o.o., Masarykova 15, 10000 Zagreb, Croatia and Christian T. Bader I Finance and Real Estate Agent, Grefstraße 51, 70499 Stuttgart, Germany (“CTB Brokers” or “we”), and their customers. Customers can be both consumers and entrepreneurs. If the male form is used in the designation, this is only for reasons of better readability. All designations apply equally to all genders.

In the event of a commission-triggering main contract conclusion for a property in the Republic of Croatia, the customer will receive a commission invoice exclusively from CTB Brokers d.o.o., Masarykova 15, 10000 Zagreb, Croatia, and can only pay to the former in order to discharge the debt. Otherwise, both the legal provisions of the Republic of Croatia and the tax law provisions of the Republic of Croatia apply. The customer may only assert retention rights or offsetting rights against our commission claim if the customer’s claims are based on the same contractual relationship (brokerage agreement) or if other claims are undisputed or legally binding.

Article 2

The brokerage contract between the customer and us is concluded either through a written agreement or through the use of our brokerage services on the basis of or with knowledge of the commission required for the successful brokerage/verification activity. Unless the circumstances or differing agreements indicate otherwise, the contract has a term of six months and is automatically extended by a further month unless one of the contracting parties has terminated the contract with one month’s notice before the end of the contract. The customer is not entitled to commission other brokers to carry out brokerage and/or verification activities regarding the contractual object during the term of the brokerage contract with us. In the event of a culpable violation of this regulation, the customer is liable to us for any resulting damage.

Article 3

The claim to commission is within the meaning of Section 652 Para. 1 BGB is due upon conclusion of the effective main contract if the main contract is based on our contractual verification/mediation activities. The customer is obliged to inform us immediately when, for what fee and with which parties the main contract was concluded. The obligation to provide information is not affected by the fact that the main contract is subject to a suspensive condition and this has not yet occurred. If, as a result of our mediation and/or verification activities, a rental agreement is concluded between the parties to the main contract for the contractual object instead of the originally intended purchase agreement or vice versa, this does not affect the claim to commission. The usual brokerage fee within the meaning of Section 653 Paragraph then applies. 2 BGB as owed.

If the customer is aware of the contractual opportunity regarding the offered contractual object when concluding the brokerage contract as well as the willingness of the other contractual part of the main contract (prior knowledge) or if he obtains this knowledge from a third party during the term of the brokerage contract, he must inform us of this immediately.

Article 4

Our property exposés as well as all property/contract-related information and documents provided by us as well as our entire brokerage and/or verification activities are/are intended exclusively for the respective addressed customer(s) as recipients. The customer is obliged to treat the information pp. confidentially after conclusion of the brokerage contract and not to pass it on to third parties. If the customer culpably violates this, he will be liable to us for damages if our mediation and/or verification activities are not successful as a result. If the main contract with a third party is concluded due to the unauthorized disclosure of the information, the customer is liable to us for payment of the lost commission.

Article 5

Our mediation and/or verification activities are based on the information and information provided to us by our contractual partners or other persons authorized to provide information. No liability is assumed for this. Errors and/or prior sale or rental remain reserved. As long as there is no conflict of interest, we are entitled to act on behalf of the other party to the main contract on a commission basis.

We would like to point out that the property information we pass on as well as the documents, plans, etc. come from the other party (e.g. seller or landlord). We therefore accept no guarantee or liability for the accuracy and completeness of the information. It is therefore the responsibility of our customers to check the property information and details contained therein for accuracy and completeness. CTB Brrokers d.o.o. is liable for any damage caused by slight negligence. only in the event of a breach of a contractual obligation, the fulfillment of which characterizes the contract and on which the customer may rely, as well as limited to the contract-typical and foreseeable damage. This does not apply to damages resulting from injury to life, body or health, nor in cases of mandatory liability, especially not in the case of the assumption of a guarantee.

Article 6

Note on online dispute resolution in accordance with Art. 14 para. 1 ODR-VO: The European Commission provides a platform for online dispute resolution (OS) at We are neither willing nor obliged to take part in a dispute resolution process. We also do not participate in the alternative dispute resolution process in consumer matters in accordance with Section 36 VSBG or other dispute resolution procedures.

Article 7

If our customer is a merchant within the meaning of the German Commercial Code (HGB), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Zagreb in Croatia. Croatian law applies. This choice of law only applies to consumers to the extent that the protection granted by mandatory provisions of the law of the EU state or Switzerland in which the consumer has his or her habitual residence is not withdrawn.

Article 8

Should individual provisions of this contract be or become wholly or partially ineffective, this will not affect the effectiveness of the remaining provisions.
